Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 17, 2020, Robert H. Schottenstein informed the Board of Directors (the “Board”) of his intent to resign from his position as a member of the Board effective March 18, 2020. Mr. Schottenstein was a Class II director and a member of the Compensation Committee. Mr. Schottenstein’s decision to resign is due to his professional commitments as Chairman, Chief Executive Officer and President of M/I Homes, Inc. as well as his other board commitments and not as a result of any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
